Terms of Service

If you signed a separate Cover Page to access the Product with the same account, and that agreement has not ended, the terms below do not apply to you. Instead, your separate Cover Page applies to your use of the Product.

This Agreement is between AtomicBlender LLC and the company or person accessing or using the Product. This Agreement consists of: (1) the Order Form below and (2) the Framework Terms defined below.

If you are accessing or using the Product on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company. By signing up, accessing, or using the Product, Customer indicates its acceptance of this Agreement and agrees to be bound by the terms and conditions of this Agreement.

Order Form

Framework Terms: This Order Form incorporates and is governed by the Framework Terms that are made up of the Key Terms below and the Common Paper Cloud Service Agreement Standard Terms Version 2.1 (https://commonpaper.com/standards/cloud-service-agreement/2.1/), which are incorporated by reference. Any modifications to the Standard Terms made in the Cover Page will control over conflicts with the Standard Terms. Capitalized words have the meanings given in the Cover Page or the Standard Terms.

Cloud Service: RegFind, a document search and analytics tool that focuses on nuclear licensing.

Order Date: The Effective Date

Subscription Period: 1 month(s)

Cloud Service Fees:

Certain parts of the Product have different pricing plans, which are available at Provider’s pricing page (https://regfind.co/pricing/). Customer will pay Provider the applicable Fees based on the Product tier and Customer’s usage. Provider may update Product pricing by giving at least 30 days notice to Customer (including by email or notification within the Product), and the change will apply in the next Subscription Period.

Payment Process:

Automatic payment:

Customer authorizes Provider to bill and charge Customer's payment method on file Monthly for immediate payment or deduction without further approval.

Non-Renewal Notice Period: At least 30 days before the end of the current Subscription Period.

Use Limitations: The tool is intended solely for use by the individual account holder and may not be accessed or used by multiple users or shared with others. Each account is limited to a single, designated user, and any attempt to share access or use credentials with additional users is strictly prohibited. Customers on an enterprise plan should refer to their specific terms for use limitations applicable to their accounts. Each plan includes a specified amount of usage, as detailed on the pricing page. RegFind is restricted to citizens of the United States and countries listed in Appendix A to 10 CFR Part 810, generally authorized countries under U.S. export control regulations. Any users outside these authorized nations is not permitted.

Key Terms

Customer: The company or person who accesses or uses the Product. If the person accepting this Agreement is doing so on behalf of a company, all use of the word "Customer" in the Agreement will mean that company.

Provider: AtomicBlender LLC

Effective Date: The date Customer first accepts this Agreement.

Governing Law: The laws of the State of Wyoming

 Chosen Courts: The state or federal courts located in Wyoming

Covered Claims:

Customer Covered Claims: (i) any claim or lawsuit alleging that content uploaded by the customer to RegFind infringes or violates the intellectual property rights of any third party; and (ii) any claim or lawsuit arising from the customer’s breach of the usage restrictions of RegFind, including, but not limited to, use of the product for any illegal purpose or in violation of applicable laws.

General Cap Amount:

The fees paid or payable by Customer to provider in the 12 month period immediately before the claim

Increased Claims: An Indemnifying Party's indemnification obligation

Increased Cap Amount:

The greater of $10,000.00 or 5 times the fees paid or payable by Customer to provider in the 12 month period immediately before the claim

Changes to the Standard Terms

Replace the second sentence of Section 1.4 with: "Customer assigns all right, title, and interest in the Feedback to Provider. Customer will assert no rights over Feedback."

Replace the second sentence of Section 12.3 with: “The parties will arbitrate any dispute about this Agreement in the state or county that encompasses the Chosen Courts, in English, and agree to finally settle all such disputes according to the Rules of the Judicial Arbitration and Mediation Service (“JAMS”). To the extent the JAMS streamlined rules are available, they will apply. The arbitral decision may be enforced in any court. To the extent a claim cannot legally be arbitrated (as determined by an arbitrator), the parties will bring the suit, action, or proceeding that cannot be arbitrated in the Chosen Courts and each party irrevocably submits to the exclusive jurisdiction of the Chosen Courts.”
